These Terms of Service govern your access to and use of the Zooey website, applications, and related services. By creating an account, accessing Zooey, or using the Service, you agree to these Terms. If you do not agree, do not access or use Zooey.
Zooey is an independent service, referred to in these Terms as “Zooey,” “we,” “us,” or “our.”

Zooey is a discovery and community platform that helps collectors, curators, sellers, and vintage enthusiasts share and discover antiques, vintage items, collectibles, and other interesting objects.

Unless Zooey expressly states otherwise, Zooey does not own, inspect, authenticate, appraise, insure, store, ship, buy, or sell items posted by users. Zooey is not a party to any purchase, sale, trade, delivery, or other arrangement between users. Users are solely responsible for evaluating other users and deciding whether to enter into a transaction.
You must be at least 18 years old and legally capable of entering into a binding agreement to use Zooey.

We are not responsible for losses caused by your failure to protect your account credentials.
Certain Zooey features or account types may be limited to approved curators or users who receive a valid invitation or access code.
Receiving an access code does not guarantee continued curator status. We may approve, deny, suspend, or revoke curator access at our discretion, including when we reasonably believe that a curator has violated these Terms or harmed the Zooey community.
Access codes are personal unless we expressly state otherwise. You may not sell, publish, share, or misuse an access code.
“User Content” means photographs, images, videos, descriptions, comments, messages, profile information, wanted-item requests, listings, and other material submitted through Zooey.
You retain ownership of your User Content.
By submitting User Content, you grant Zooey a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, display, format, resize, crop, adapt, distribute, and otherwise use that content as reasonably necessary to:
This license continues for as long as your content is available through the Service. Copies may remain in backups, archives, legal records, or content shared by other users where deletion is not technically or legally feasible.

Do not upload confidential information that you do not want other users to see.
Users are responsible for the accuracy of information they post about items, including descriptions, condition, age, origin, maker, authenticity, dimensions, ownership, and price.
Zooey does not guarantee:
Users should independently inspect items, request supporting documentation, verify authenticity, and use appropriate caution before sending money, meeting in person, or completing a transaction.
Any transaction, payment, refund, shipment, pickup, return, tax, or dispute is solely between the participating users unless Zooey expressly agrees otherwise in writing.
You may not use Zooey to offer, seek, promote, or facilitate items that are illegal, stolen, counterfeit, fraudulently represented, unsafe, or prohibited by these Terms.

Zooey may remove an item even if it is not expressly listed above.

Zooey may, but is not required to, review, moderate, investigate, restrict, or remove User Content.
We may take action when we reasonably believe that content, conduct, or an account violates these Terms, violates applicable law, infringes another person’s rights, creates fraud, safety, reputational, or legal risk, or disrupts the Service or community.
Actions may include removing or limiting content, restricting account features, suspending or terminating an account, preserving information for legal or safety reasons, or referring conduct to law enforcement when appropriate.
Our decision not to act in one situation does not waive our right to act in another.
You may report suspected fraud, counterfeit goods, stolen property, harassment, infringement, or other violations by contacting hello@heyzooey.com. Include enough information for us to locate and evaluate the reported content. We may not be able to disclose the outcome of an investigation.

The Service, including Zooey’s name, logos, branding, interface, design, software, text, graphics, and other materials created by Zooey, is owned by Zooey or its licensors and is protected by applicable intellectual-property laws.
These Terms give you a limited, personal, revocable, non-exclusive, non-transferable right to use the Service for its intended purpose. You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from Zooey’s proprietary materials except as permitted by law or with our written permission.
You may provide suggestions, ideas, or feedback about Zooey. You grant us permission to use that feedback without restriction or compensation to you. You are not required to provide feedback, and we are not required to implement it.
Zooey may use SMS messages for one-time verification codes, account-security communications, service-related notices, and match notifications that you have agreed to receive.
By providing your phone number and requesting phone-based features, you authorize Zooey and its service providers to send applicable transactional or service-related text messages to that number.
Message frequency varies. Message and data rates may apply.
You may opt out of eligible recurring notifications by replying STOP or by using another opt-out method made available by Zooey. Reply HELP for support information. Consent to receive optional SMS notifications is not a condition of purchasing a product or service.

Our Privacy Policy explains how Zooey collects, uses, stores, and shares personal information. By using Zooey, you acknowledge that you have reviewed the Privacy Policy.
Zooey may contain links to or integrations with third-party websites, payment services, communications providers, or other services. Zooey does not control and is not responsible for third-party services. Your use of them may be governed by separate terms and privacy policies. A link or integration does not mean Zooey endorses or guarantees that third party.
Zooey may currently offer some or all features without charge. We may introduce subscriptions, fees, commissions, or other paid services in the future. Before charging you, we will disclose the applicable price and material payment terms and obtain any authorization required by law.
You may stop using Zooey at any time. You may request account deletion through account settings or by emailing hello@heyzooey.com.
Zooey may suspend, restrict, or terminate your access if you violate these Terms, your use creates legal, security, fraud, or safety risk, you fail to pay an applicable fee, we are required to do so by law, or we discontinue the Service or a relevant feature.
Sections that by their nature should survive termination will remain effective, including ownership, content licenses, disclaimers, liability limitations, indemnification, and dispute terms.
We may modify, suspend, or discontinue all or part of Zooey. We will attempt to provide reasonable notice when practicable, but we do not guarantee that any feature or content will remain permanently available.
To the fullest extent permitted by law, Zooey is provided “as is” and “as available.” Zooey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.
We do not warrant that the Service will always be available, secure, or error-free; that defects will be corrected; that content will be accurate or complete; that users are who they claim to be; or that items are authentic, lawful, safe, or accurately described.
Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.
You use Zooey and interact with other users at your own risk. Exercise care when communicating with strangers, sharing personal information, meeting another user in person, inspecting or handling an item, and sending or receiving payment. Zooey does not conduct comprehensive background checks on users and does not guarantee user identity or conduct.
To the fullest extent permitted by law, Zooey and its owners, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for loss of profits, data, goodwill, opportunities, or business.
To the fullest extent permitted by law, Zooey’s total liability for all claims relating to the Service will not exceed the greater of the amount you paid directly to Zooey during the 12 months before the event giving rise to the claim, or US $100.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Zooey and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, judgments, costs, and reasonable legal fees arising from or related to your User Content, your use or misuse of Zooey, your transaction or interaction with another user, your violation of these Terms, your violation of applicable law, or your violation of another person’s rights.
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. The federal and state courts located in Los Angeles County, California will have exclusive jurisdiction over disputes arising from these Terms or the Service, except where applicable consumer law permits you to bring a claim elsewhere.
Before filing a legal claim, you and Zooey agree to attempt to resolve the dispute informally for at least 30 days. Send a written notice describing the dispute and requested resolution to hello@heyzooey.com. This requirement does not prevent either party from seeking urgent injunctive relief or filing a claim before an applicable limitations period expires.
We may revise these Terms from time to time. When we make changes, we will update the “Last updated” date. If a change materially affects your rights or obligations, we will provide reasonable notice before it takes effect. Your continued use of Zooey after revised Terms take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
Certain features may be governed by additional guidelines, policies, or terms. Additional terms become part of your agreement with Zooey when you use the relevant feature. If additional terms conflict with these Terms, the feature-specific terms will control for that feature.
These Terms, together with the Privacy Policy, SMS Policy, and any applicable additional terms, constitute the complete agreement between you and Zooey regarding the Service. If part of these Terms is found unenforceable, the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver of the right to enforce it later. You may not transfer your rights or obligations under these Terms without Zooey’s written permission. These Terms do not create an employment, agency, partnership, or franchise relationship between you and Zooey.
